Terms of Service

Eligibility and authority

You must be at least 18 and authorized to act for the business purchasing or using the services. You are responsible for the accuracy of information you provide.

Services and plan scope

The features, setup work, website work, training, support, usage allowances, and delivery schedule included in your service are described on our website and in any applicable proposal or order. Work outside that scope may require a separate agreement or fee. Estimated launch timelines depend on timely access, content, approvals, and cooperation from you.

Calls, proposals, and acceptance

A booking is a consultation and does not require either party to enter a paid relationship. Paid services begin when you accept the applicable proposal, order, or checkout terms.

Billing and cancellation

Recurring plans are billed in advance and continue month to month unless your order states otherwise. You authorize the applicable payment method for recurring charges. You may cancel future renewals by contacting us before the next billing date. Fees already paid are non-refundable except where required by law or expressly stated in writing. Unpaid balances may result in suspended service.

Your responsibilities

• Provide accurate content, credentials, permissions, and approvals on time
• Maintain lawful rights to all content, contacts, data, domains, and materials you provide
• Review and approve deliverables and customer-facing messages
• Use messaging, payments, reviews, and marketing features in compliance with applicable laws and platform rules
• Protect account credentials and notify us promptly of suspected unauthorized access

Acceptable use

You may not use the services for unlawful, fraudulent, abusive, deceptive, infringing, or harmful activity; send communications without required consent; interfere with service operation; attempt unauthorized access; or resell access unless expressly agreed in writing.

Ownership and licenses

You retain ownership of materials you provide. You grant us a limited license to use those materials to deliver the services. We retain ownership of our pre-existing tools, templates, methods, software, and know-how. Ownership or licensing of custom deliverables will follow the applicable proposal or order. Third-party materials remain subject to their own licenses.

Third-party services

The services may connect to third-party platforms for hosting, communications, payments, scheduling, domains, analytics, and other functions. Their availability, rules, pricing, and data practices are controlled by those providers. We are not responsible for third-party outages, changes, or actions outside our reasonable control.

Disclaimers

Services are provided on an “as is” and “as available” basis to the extent permitted by law. We do not guarantee uninterrupted operation, specific revenue, lead volume, search ranking, review count, or other business results. Your results depend on factors beyond our control.

Limitation of liability

To the fullest extent permitted by law, NewBiz 360 will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Our total liability arising from the services will not exceed the amount you paid NewBiz 360 for the affected service during the three months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Suspension and termination

We may suspend or terminate access for nonpayment, material breach, security risk, unlawful conduct, or misuse. Provisions that by their nature should survive termination will remain in effect, including payment obligations, ownership, disclaimers, and liability limits.
